Welcome to ProFlow Referrals (“ProFlow,” “we,” “our,” or “us”).

These Terms of Service (“Terms”) govern your use of the ProFlow Referrals website, mobile application, and related services (collectively, the “Platform”).

By creating an account, purchasing access through our website, or using the Platform, you agree to be bound by these Terms.

If you do not agree to these Terms, do not use the Platform.

2. About ProFlow

ProFlow Referrals is a contractor referral management platform designed to help participating professionals receive, manage, and track customer referrals through a secure online system.

The Platform includes:

• Secure web account management
• Mobile application access
• Referral submission
• Referral tracking
• Status notifications
• Account management
• Reporting tools

3. Eligibility

To use ProFlow you must:

• Be at least 18 years old.
• Be legally able to enter into a binding agreement.
• Register with accurate information.
• Maintain accurate account information.
• Use the Platform only for lawful business purposes.

4. One-Time User Access Fee

Access to the ProFlow Referrals Platform requires payment of a One-Time User Access Fee of $49.00 USD for each registered user account.

Your purchase provides ongoing access to the current ProFlow Referrals Platform for your registered account.

ProFlow may introduce optional premium features, services, or enhancements in the future that may require an additional purchase.

Unless otherwise stated:

• No monthly subscription is required.
• No annual renewal fee is required.
• Your purchase grants ongoing access to the current standard features available for your account.

5. Web Purchase Only

All purchases are completed exclusively through our secure website using Stripe Checkout.

The ProFlow mobile application does not sell products or process payments.

To obtain access you must:

4. 4.Sign into the mobile application.

6. Stripe Payments

Payments are securely processed by Stripe.

ProFlow does not store your complete credit card information.

By completing your purchase, you also agree to Stripe’s applicable terms and privacy practices.

7. User Accounts

You agree to:

• Keep your password confidential.
• Maintain accurate account information.
• Promptly update changes to your information.
• Notify us of unauthorized account use.

You are responsible for all activity occurring under your account.

8. Acceptable Use

You agree not to:

• Submit false referrals.
• Submit duplicate referrals in bad faith.
• Upload malicious software.
• Attempt unauthorized access.
• Reverse engineer the Platform.
• Interfere with system security.
• Misrepresent your identity.
• Use automated bots or scraping software.
• Share login credentials with unauthorized persons.
• Violate any applicable law.

Violation of these Terms may result in immediate suspension or termination.

9. Referral Integrity

Referral quality is essential to maintaining the integrity of the Platform.

Users agree that:

• Submitted referrals are truthful.
• Referral information is accurate.
• The customer has not previously been submitted by the same user.
• The referral represents a legitimate business opportunity.

Fraudulent submissions may result in permanent account termination.

10. Referral Ownership

Submission of a referral does not automatically establish ownership of that lead.

When duplicate or disputed referrals occur, ProFlow reserves the exclusive right to determine referral ownership based on available records, timestamps, and other relevant information.

All decisions regarding referral ownership are final.

11. Intellectual Property

The Platform, including its:

• Software
• Design
• Logos
• Trademarks
• Text
• Graphics
• Workflows
• Databases

remain the exclusive property of ProFlow Referrals.

Nothing in these Terms transfers ownership to users.

12. Limited License

Upon payment of the applicable One-Time User Access Fee, ProFlow grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Platform for your internal business purposes.

You may not:

• Resell access
• Rent accounts
• Transfer accounts
• Sublicense the Platform

without written permission.

13. Platform Availability

We strive to maintain reliable service but cannot guarantee uninterrupted availability.

Service interruptions may occur because of:

• Maintenance
• Security updates
• Internet outages
• Third-party provider interruptions
• Natural disasters
• Events beyond our reasonable control

14. Software Updates

ProFlow may release updates, enhancements, bug fixes, and new features at any time.

Some updates may be required for continued use of the Platform.

15. Optional Future Features

Your purchase covers the current standard version of the ProFlow Referrals Platform.

Future products or services—including premium modules, enterprise tools, advanced reporting, AI-assisted features, integrations, or other optional enhancements—may require an additional purchase.

Nothing in these Terms guarantees access to future premium offerings at no additional cost.

16. Privacy

Your use of the Platform is also governed by the ProFlow Referrals Privacy Policy.

By using the Platform, you consent to the collection and use of information described in that Privacy Policy.

A summary of our privacy practices:

• We collect information needed to create your account, provide referral services, process purchases, and operate the Platform.
• We do not sell your personal information.
• Payments are securely processed by Stripe; ProFlow does not store complete payment card information.
• We use commercially reasonable security measures to protect your information.
• You may request access to, correction of, or deletion of your personal information, subject to applicable law and legitimate business or legal requirements.
• Our mobile app does not process payments; all purchases are completed through our website.

17. Suspension or Termination

ProFlow may suspend or terminate your account if you:

• Violate these Terms.
• Submit fraudulent referrals.
• Misuse the Platform.
• Attempt unauthorized access.
• Engage in unlawful activity.

Termination for cause does not entitle you to a refund.

18. Disclaimer of Warranties

The Platform is provided “AS IS” and “AS AVAILABLE.”

To the fullest extent permitted by law, ProFlow disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee:

• Continuous availability
• Error-free operation
• Referral volume
• Business growth
• Revenue generation

Business results will vary.

19. Limitation of Liability

To the maximum extent permitted by law, ProFlow Referrals, its owners, employees, contractors, affiliates, and partners shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising from your use of the Platform.

Our total liability shall never exceed the amount you paid for your One-Time User Access Fee.

20. Indemnification

You agree to defend, indemnify, and hold harmless ProFlow Referrals from any claims, damages, liabilities, losses, costs, or expenses arising from:

• Your use of the Platform.
• Your violation of these Terms.
• Your violation of any law.
• Fraudulent or unauthorized referrals submitted by you.

21. Governing Law

These Terms shall be governed by the laws of the State of Hawaii, without regard to conflict-of-law principles.

Any legal action shall be brought in the appropriate state or federal courts located in the State of Hawaii.

22. Changes to These Terms

We may update these Terms from time to time.

Material changes become effective upon posting on our website.

Continued use of the Platform after changes are posted constitutes acceptance of the revised Terms.
